Corporate Paralegal

Our client, the Denver office of a dynamic national firm is looking for a corporate paralegal with 5 plus years of corporate paralegal experience to assist its busy General Corporate practice area. Responsibilities include;

• Draft corporate formation documents including preparation of Articles of Organization, Articles of Incorporation, Bylaws, Operating Agreements, Stock Certificates, IRS Forms, Foreign Qualifications

• Perform lien searches (Federal, State and County)

• Preparation of state and local filings (including financial and business)

• Maintain client corporate records including preparation of annual reports and annual minutes

• Research corporate entities and obtain documents on-line or via other means from various state agencies

• Research state and local statutes

• Transactional: Due Diligence, Signature Packets, Closing Checklists, Closing Binders

This is a corporate paralegal position which works closely with the corporate practice group. We are looking for a corporate paralegal who has corporate governance experience at a law firm. High degree of organizational and communication skills are required. Strong ability to multi task as well as the ability to work well in a team are required.
