Job Summary

Supports and worksclosely with attorneys, internal clients, and outside counsel as necessary on a wide varietyof legal and administrative dutiessuch ascirculation, organization, scheduling and execution on transactional, contract, and litigation matters.


  • Provides support in connection with establishing and maintaining various company contract forms files including supply chain master agreements,operating agreements,real estateagreementsand right of way agreements

  • Provides support in connection with the drafting, reviewing and structuring ofstandard and non-standard procurement contracts for goods and services transaction andofIT and software procurement and licensing agreements

  • Provides support in connection with the drafting and structuring of real estate related contracts and transactions includingdeeds, rights-of-way (easements), pipeline crossing agreements, pipeline relocation agreements, reimbursement agreements, property damage releases, office leases, and facilities operation andmanagement agreements

  • Coordinates with the company%26rsquo;s contract administrationmanager for contract status and retention

  • Drafts, proofs, reviews and formats basic acquisition and disposition documents including asset and equity purchase and sale agreements

  • Prepares schedules and exhibits for transaction documents and coordinates the compilation of schedules and exhibits with attorneys and internal subject matter experts

  • Completes transaction due diligenceanddata room management

  • Prepares documents for execution and coordinates transaction documentation completionincluding document signing, delivery and internal permanent records retention

  • Updates legal department transaction directory with deal documents

  • Learns and maintains the company%26rsquo;sMerger&Acquisitiontransaction database and asset list,including acquisition and disposition histories, and communicatesthosedetails when needed in subsequent transactions, governmental reportingandinvestigation, litigation and other purposes

  • Reviews third-party confidentiality and non-disclosure agreements,conforms the same to company forms, andmaintains the legal departmentconfidentiality agreementstracking spreadsheet

  • Prepares powers of attorney (right-of-way, supply chain, fleet, etc.),declarations, andaffidavits for lawsuits and regulatory proceedings

  • Perform administrative duties as needed by attorneys or other members of thelegaldepartmentsuch as monitoring email, managing attorney correspondence,processing invoices,submittingexpense reports, scheduling, drafting, typing, calendaring, coordinating travel and other clericaltasks

  • Managesdepartment deadlines and goalsand ensures the legal records and work product are effectively organized

  • Provides guidance, oversight, and coaching to lower level team members

  • Performs other related duties to meet the ongoing needs of the organization
